Welcome to BabyPrint! These Terms of Service (the “Terms”) govern your use of our website (www.thebabyprint.com; the “Website”) and the services, tools and/or benefits, whether paid or otherwise, provided by BabyPrint (the “Services”). By accessing or using our website, you agree to be bound by these Terms. These Terms include the Privacy Policy and form a binding agreement by and between you and BabyPrint and Helium Allocation, LLC (collectively “BabyPrint”). If you do not agree to these Terms, please do not use our Services.

1. Acceptance of Terms:  Please read these Terms and our Privacy Policy carefully before using or accessing the Services. By using or accessing the Services (including submitting information to the website), you confirm that you have read, understood, and agree to be bound by these Terms, including the Privacy Policy (which is incorporated by reference), and that you will comply with all applicable laws and regulations. You agree that these Terms, together with your use of the Services, carry the same legal weight as a written contract with your signature and fulfil any legal requirements for a written agreement or signature. Furthermore, you agree not to contest the validity, enforceability, or admissibility of these Terms based on their electronic format or authorization. By using our website, you affirm that you are at least 18 years old, have the legal capacity to enter into these Terms, and agree to comply with these Terms.

2. Service Description:  BabyPrint provides a platform where couples can take surveys to explore and discuss various aspects of becoming parents. Upon completion of certain surveys, we generate a personalized PDF report based on the responses provided. You understand and agree that BabyPrint is not and does not hold itself out to be a professional counselor, therapist, psychologist or any other mental health professional and the Services provided by BabyPrint are simply for entertainment value only.  The service may offer relationship, parenting, and other related information, but such content is intended for educational and informational purposes only. The information provided through the Services does not, and is not meant to, offer professional advice, nor does it constitute counseling or therapy in any way whatsoever. You should not rely on this information as a substitute for, nor does it replace, professional advice or guidance from a qualified expert. BabyPrint is not liable for any actions or inactions taken by users based on the information presented through the Services.  You acknowledge that by providing your contact information, you are authorizing us to contact you about new survey releases or other matters; you will have the ability to unsubscribe at that time, at any time thereafter or by emailing us at help [at] thebabyprint.com.

3. User Responsibilities:  Accuracy of Information: You are responsible for ensuring that the information you provide, including, but not limited to your name, your partner’s name and email addresses are accurate and current as of the date of input. Use of Service: You agree to use our Services only for lawful purposes. You shall not use the Service to engage in any activity that is illegal, harmful, or violates the rights of others. Materials you enter or upload to the Website may not contain: (i) URLs or links to websites that compete with the Website; (ii) copyrighted material (unless you own the copyright or have the owner's permission to post the copyrighted material); (iii) trade secrets (unless you own them or have the owner's permission to post them); (iv) material that infringes on or misappropriates any other intellectual property rights, or violates the privacy or publicity rights of others; (v) anything that is sexually explicit, obscene, libelous, defamatory, threatening, harassing, abusive, or hateful; or (vi) anything that is embarrassing or offensive to another person, group or entity. You may not use the Services to (i) impersonate another person, living or dead; (ii) post false, inaccurate or misleading information; (iii) imply specific endorsement by us; (iv) post advertisements or solicitations of business.

4. Privacy Policy:  Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference and available on the Website. Intellectual Property:  All information, materials, images, software, photographs, articles, text, functions, and other content provided on or through the Services (collectively referred to as “Content”), along with all associated copyrights, trademarks, and intellectual property rights, are the exclusive property of BabyPrint, its owners, licensors, content providers, and/or third parties. The Services, including all Content and its arrangement, are protected as a compilation owned by BabyPrint under domestic (United States) and international copyright laws. BabyPrint reserves the right to modify or remove any Content or features of the Services at any time, for any reason, or without notice. All rights not expressly granted regarding the Services and Content are reserved by BabyPrint. Unless stated otherwise, the trademarks, service marks, trade names, and logos displayed on the Website are the property of BabyPrint. Any other trademarks, logos, or service marks belong to their respective owners. Nothing on the Services shall be construed as granting any license or right to use any trademark, trade name, logo, or service mark without prior written permission from BabyPrint. Unauthorized use of BabyPrint’s trademarks or those displayed on the Services is strictly prohibited. Content may not be copied, reproduced, republished, uploaded, posted, transmitted, displayed, or distributed in any way without prior written permission from BabyPrint. However, you and other users may download one copy of the Content that is generated to you as a user to a single computer and print it solely for personal, non-commercial use. You may also share this same information electronically to your family, friends and others.  No permission is granted to use the Website’s icons, addresses, or other elements for hyperlinking to other websites without authorization.

6. User-Generated Content:  By submitting any information to the Website, you grant BabyPrint a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content in connection with the Services, although BabyPrint agrees not to associate any answers you provide to your personal name or contact information. You represent and warrant that you have the right to grant this license and that your content does not infringe the rights of any third party. We are not obligated to monitor user-submitted materials on the Website, but we may do so on a random basis. Any content that we, at our discretion, find in violation of these Terms may be removed.

7. Limitation of Liability:  To the fullest extent permitted by law, BabyPrint shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use the Services, even if we have been advised of the possibility of such damages.

8. Indemnification:  You agree to indemnify, defend, and hold harmless BabyPrint and its affiliates, directors, officers, employees, and agents from any claims, liabilities, damages, losses, or expenses arising out of your use of the Services or your violation of these Terms.

9. Changes to the Terms:  We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Website. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

10. Termination:  We may terminate or suspend your access to the Services at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users or BabyPrint.

11. Governing Law:  These Terms are governed by the laws of the State of Illinois, County of Cook, City of Chicago, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Chicago, Illinois.
